Management and Organization
Your business is going to have dozens of contracts if not hundreds. It takes an attorney who specializes in Texas business contracts to effectively manage everything and work proactively on your behalf. We’ll ensure every contract is being tracked, organized, and reviewed well in advance. Our experts will help you understand the terms of your contracts and navigate everything from getting new investors to selling your business with ease.
Negotiation and Review
Boilerplate clauses almost never fulfill the purpose of a contract. By the same token, local lawyers have a stronger understanding of local laws and loopholes. We carefully negotiate and review your contracts for clarity and accuracy, ensuring they reflect your goals and meet the needs of the legal system in Texas.
Drafting and Creation
Our attorneys are well-versed in drafting and creating contracts for Texas businesses. Whether you need Operating Agreements, Bylaws, Buy-Sell Agreements, Shareholder Agreements, Debt Agreements, or Terms of Service, you will be in good hands at Spera Law Group.
How does a contract work in Texas?
A contract is a legally binding document between two or more parties recognizing rights and duties between the parties. Most contracts contain certain standard clauses, but don’t forget that differences in state and local laws should be taken into account.
In addition, there is plenty of room for negotiation. In fact, negotiation is one of the most important parts of creating a contract that is beneficial to both parties, and our team at Spera Law is ready to help you achieve that goal.
Can you help me get out of a bad contract?
Unfortunately, once you’ve signed a contract, it’s a done deal. However, our attorneys are adept at finding the best ways to improve any complicated business situation, and we will work with you to find an amicable solution.
For our team, the name of the game is prevention. Most contract issues can be avoided by merely consulting on the front end. That’s why we work so hard to help our clients draft contracts that will put them on the path to success.
What types of contracts do you work with?
Typically, our attorneys work with Texas businesses dealing with the following types of contracts:
- Employment contracts
- Confidentiality agreements
- Service contracts
- Website Terms of Use Agreement
- Stock Purchase Agreements
- Leases
- Loan agreements
- Software licenses
- Company documents
- Intellectual property, advertising and creative contracts

How often should I review business contracts?
Contracts need to stay living, breathing documents, even when written by an attorney. Documents helping you today may not be the documents your business needs tomorrow.
- Non-disclosure and confidentiality agreements are typically written fairly generically, so you don’t need to review those as often unless you’re dealing with specific changes.
- Employment agreements, website agreements, and software licenses, on the other hand, need to be regularly reviewed to be kept up-to-date. We recommend reviewing these contracts yearly or every two years (or more frequently if changes or issues occur).
- Leases and loan agreements must be reviewed before they are renewed or if any issues arise.
- Other generic company documents should be reviewed every few years. In the case that you are adding, removing, or having disputes with business partners or your company is facing financial issues, you’ll want to review more frequently.
What happens when a breach of contract occurs in Texas?
Most of the time in breach of contract cases, the parties entered in an agreement wishing to see it fulfilled. So what do you do if the other party breaches the contract?
First, we will help you notify the other party, express concern, and request immediate attention to upholding the contract. Negotiations, or possibly even mediation or arbitration, may be called for, and our team at Spera Law is experienced in these fields and ready to move forward in these cases. Our goal is to help you move forward through this dispute and towards a successful resolution.
