How does a contract work?
A contract is a legally binding document between two or more parties recognizing rights and duties between the parties. Most contracts contain certain standard clauses, but don’t forget that there is plenty of room for negotiation. How often should I review business contracts?
Contracts need to stay living, breathing documents, even when written by an attorney. Documents helping you today may not be the documents your business needs tomorrow.
- Non-disclosure and confidentiality agreements are typically written fairly generically, so you don’t need to review those as often unless you’re dealing with specific changes.
- Employment agreements, website agreements, and software licenses, on the other hand, need to be regularly reviewed to be kept up-to-date. We recommend reviewing these contracts yearly or every two years (or more frequently if changes or issues occur).
- Leases and loan agreements must be reviewed before they are renewed or if any issues arise.
- Other generic company documents should be reviewed every few years. In the case that you are adding, removing, or having disputes with business partners or your company is facing financial issues, you’ll want to review more frequently.
What happens when a breach of contract occurs?
Most of the time in breach of contract cases, the parties entered in an agreement wishing to see it fulfilled. So what do you do if the other party breaches the contract?
